Alder & Sound are a tax and transfer pricing boutique firm. The firm offers legal, transfer pricing, tax and finical advisory services to a variety of clients including multinationals, SME's and small companies. The firm operates with a network of trusted foreign firms to offer an extensive range of expertise. The tax and legal division of the firm is headed by partners Suvi Vänskä and Lotta Liljelund. A team of three further fee earners support the partners.
Vänskä and Liljelund have worked on numerous transactions, including advising a Finnish parent company on the merger of a loss-making subsidiary based in Denmark into the Finnish parent company and the deductibility of losses incurred in another EU Member State by a non-resident subsidiary.

Bird & Bird Finland has a small tax team, capable of providing an array of business tax advice, but focused on international taxation and M&A taxation. The firm’s team is led by partner Sami Tuominen, a member of the International Fiscal Association for Finland, who advises on international and domestic taxation for corporates and individuals.
The team has assisted on a number of public M&A deals, including acting as advisers to the Finish healthcare provider Mehiläinen during its acquisition by CVC Capital Partners Fund VII and other parties. It has also advised the HYY Group on its acquisition of Seurahuone from a property investment fund held by Blackstone.
The firm recently hired M&A taxation specialist Antti Paloniemi as counsel. Paloniemi had previously spent two years with BDO Finland and the previous 10 years with Deloitte. M&A tax specialist Peter Kjellberg left the firm in late 2018.
Borenius's tax department is the Finish member of the Taxand network. The department covers work across all tax areas, including indirect tax, M&A, private client and transfer pricing. The department is currently acting as one of the leaders in both tax and transfer pricing dispute matters. It is led by Janne Juusela, who specialises in M&A tax, restructurings, international tax and tax litigation. He is supported by partners Einari Karhu and Heikki Wahlroos, as well as a team of associates.
Borenius have advised on a number of well-publicised TP litigation proceedings in Finland, firstly for Nokian Tyres on the characterisation of its foreign operations relating to its transfer pricing policy, and secondly for Paroc Corporation on the right of the taxpayer to choose the business and transfer model which it feels is most appropriate. It has also advised Morgan Stanley on its €97 million acquisition of 1,594 rental apartments across 15 Finnish cities from Kojamo Group.
Castrén & Snellman Attorneys is a full service law firm with an office in Finland and two offices in Russia. In Finland, it is involved in the leading M&A cases and also covers indirect taxes and tax disputes. The team is led by partner Sari Laaksonen, who has been at the firm for 16 years.
The firm was recently involved in a public reversed cross-border merger, where Nordea Bank re-domiciled to Finland from Sweden through a merger of the Swedish Parent company Nordea Bank AB merged with the Finnish subsidiary Nordea bank Abp, resulting in all assets and liabilities being transferred to Nordea bank Abp, which has become the parent company of the Nordea group.
The firm recently hired partner Mikko Alakare from Borenius Attorneys, as well as senior associate Ville Alahuhta from the same firm. Jenni Parviainen left the firm to move to Hannes Snellman.
Deloitte is able to offer advice on a wide array of tax topics, including corporate tax, M&A taxation, indirect taxes and transfer pricing. The team is led by managing partner Lari Hintsanen, who is specialised in both tax and transfer pricing. The head of the indirect tax team is partner Johanna Oksa and the buisness taxation team is headed by director Salla Holma
The firm continues to act for some of the largest multinationals, including advice for a multimillion cross border share acquisition bid between two Nordic corporates.
Mikko Jantunen has left his role of head of tax management consulting in Finland to take a position at Deloitte’s global tax centre in Belgium. Deloitte have continued to grow all of their teams in Finland, including eight new hires from rival Big Four firms, as well as additions from local law firms and from in-house teams.
Hannes Snellman focuses its practice in supplying high-end dispute support and M&A transaction advice to its clients. The firm also has strong capabilities within indirect taxation, private client taxation and investment structures. It is led by partner Heikki Vesikansa, who is an expert in transactional tax structuring. The team is made up of a further nine fee earners.
The firm acted in some of the major Finnish transactions, including Areim Fund III's acquisition of 66,500m2 of office properties across eight locations in greater Helsinki. Hannes Snellman advised Ariem in acquiring the properties from Avant Capital Partners, Varma Mutual Pension Insurance Company and EPISO 4 fund.
In 2019, Piia Ahonen joined the firm from EY, becoming a specialist partner and head of the indirect tax. Senior associate Johan Gabriel Hägerström returned to the firm following two and a half years working for OneLife in Luxembourg. Hägerström specialises in private client and asset management taxation.

Partners Antti Lehtimaja and Marko Vuori lead the team at Finnish law firm Krogerus. It is associated primarily with major private equity and real estate transactions, but also provides assistance on a range of M&A mandates, in addition to offering deep expertise on the tax issues associated with fund formation.
One matter of note in the firm's recent work saw it assisting Valorem in entering into a joint venture with Octopus Energy investments for the construction and operation of two find farms. It also helped Evolver Equity in the establishment of its first limited partnership buyout fund, Evolver Fund I.
One notable change to the team this year was the arrival of Samu Lassila, who joined the firm from EY in August 2019 and will join the partnership of Krogerus in April 2020.
Roschier is a leading transactions orientated law firm in Finland. The tax team is brought in to advise on all aspects of a transactions, including structuring, indirect taxes and transfer pricing. It is also known for its involvement in tax disputes and audits. It is led by Mika Ohtonen, who is focused on tax structuring concerning cross border transactions. The firm recently advised an investor consortium led by ANTA Sports Products in its cash tender offer for Amer Sports, with a tender offer of €40 a share, creating the largest cash tender offer ever announced in Finland with a full valuation of €4.6 billion.

Waselius & Wist focuses the tax practice on high-end tax work, looking at transactions as well as business structuring, taxation of financial instruments and tax litigation. The firm’s tax department is led by managing partner Niklas Thibblin, who specialises in tax structuring.
Jouni Weckström joined the firm as a tax partner in early 2019, following two years as the co-head of Krogerus's tax group. Weckström specialises in tax litigation and real estate transactions.
