The three partners and four other tax lawyers in Freshfields Bruckhaus Deringer's New York and Washington DC offices work together as one team, led by Gregory May. The firm advises US and international clients on M&A, capital markets, investment funds, derivatives and structured products, finance and corporate tax planning. In February 2012, Freshfields advised The Royal Bank of Scotland, as global coordinator and arranger, and Barclays Capital, HSBC, and Lloyds Bank as the joint lead managers on the $1.9 billion refinancing and development financing solution for holiday villages operator Center Parcs. The financing blended a corporate secured bond (Whole Business Securitisation) with a high-yield bond. The issuance of a high-yield bond out of the same structure as the WBS was the first of its kind in Europe and allowed Center Parcs to maximise its investor base.
