Sole partner Benoît Malvaux heads a team of four at NautaDutilh. The market views Jan Werbrouck's departure last December as a serious loss, though the practice has still been involved in a number of interesting and large deals this year.

The team advised City Mall Riviers on the tax structuring of the sale in view of the development of a retail centre project in Verviers with a value of more than €100 million. This raised a number of complex questions regarding VAT, corporate income tax and registration duties. The group also advised Lelux Corporate Finance on the launching of a securitisation operation with a Belgian special purpose vehicle to benefit from the Belgian-US tax treaty.

Other clients they have worked for this year include Caviar Films, Cofinimmo, Hugo Boss, ING and Multipharma.

NautaDutilh's tax practice is co-headed by Jean-Marc Groelly and Christian Joosen. They lead a team of six. The strength of the firm's network mean that the practice has a greater market exposure than their size might suggest. The practice has developed an in-house transfer pricing capability, working with colleagues with similar experience in the rest of the firm outside Luxembourg.

This year Groelly and Jean-Nicolas Bourtembourg advised on the refinancing of the WIND group, which involved €3.9 billion of new senior credit facilities and the issuance of €2.7 billion of high-yield senior secured bonds. This was the largest high-yield refinancing transaction in Europe this year.

Other work this year includes advising Apollo Global Management and CVC Capital Partners in relation to their $1.4 billion on their acquisition of Brit Insurance Holdings and Ocwen Financial Corporationm, a listed financial services company, on the spin-off of its real estate mortgage and default management services business. Other clients include Deutsche Bank, Taconic Capital Advisors, Oak Hill Advisors and Masonite.

Chris Warner leads a team of more than 10 tax professionals, including three partners at NautaDutilh, with the practice split between the firm's Amsterdam and Rotterdam offices.

The practice is viewed by the market as being particularly strong in the finance sector. Warner recently advised the State of the Netherlands on the sale of its stake in a well-known Dutch company. He also provided counsel to a global bank on the acquisition of parts of a Dutch bank.

Bert Fibbe is a partner in the firm and specialises in tax litigation, especially where there is a criminal law angle. Partner Nico Blom specialises in the tax aspects of structured finance, securitisation, funds and also M&A.
