Keith O'Donnell leads the tax practice at Atoz-Taxand
and specialises on international tax and real estate tax. The firm has
nine partners and around 70 fee earners. The firm advises on M&A,
real estate, private equity and cross border transactions. Paul
Chambers advised Cargolux Aircraft in a joint venture. This deal
involved an alternative refinancing structure for a key Luxembourg
industrial company which contained a complex partnership structure. The
deal was worth $150 million. O'Donnell, Pierre-Régis Dukmédjian
and Hugues Hénaff advised Orco Property Group when it put itself
under a Chapter 11 type procedure. This was unusual as it was done under
the French 'Sauvegarde' law despite being a Luxembourg company. This
was the first time a Luxembourg publicly quoted company had put itself
under this French procedure, creating a multiple jurisdictional
situation. Olivier Remacle and Iman Ben Abbes advised SBM Monaco
on the acquisition of Mangas Gaming. This transaction involved an
emerging business, online betting and gaming, which required specific
tax planning on flows deriving from intellectual property.
