In January 2011 partners Gregory Bopp and Lance Behnke in the Houston office of Bracewell & Giuliani advised Enerplus Corporation, one of Canada's oldest and largest independent oil and gas producers, on the US tax issues associated with its conversion from a Canadian income trust to a Canadian corporation. The $1 billion transaction was structured as a tax-free transaction for US tax purposes because US investors held a significant portion of Enerplus's trust units.
