Bracewell & Giuliani's tax practice, headed by Elizabeth McGinley, is particularly strong in advising on master limited partnerships, energy, private investment funds, distressed situations/bankruptcy, corporate and international transactions, and financial products. Bracewell has advised a number of major international energy companies, including Kinder Morgan and Chesapeake Energy on their tax affairs. During the past year, Bracewell represented ConocoPhillips in the $23- billion spin-off of Phillips 66, which is now an independent downstream energy company with businesses in refining and marketing, midstream and chemicals. The complex transaction required the segregation of assets and joint ventures, negotiation of transactional arrangements and the allocation of each liability – each with major tax implications. Phillips 66 became an independent, publicly-traded company on the New York Stock Exchange on May 1 2012.
