Torys's tax practice, led by James Welkoff, is particularly strong in M&A and capital markets. Its clients include Thomson Reuters, Scotiabank, TD Bank Group, Toronto Stock Exchange, and Northgate Minerals. The firm is advising Canada's grain handler Viterra on its proposed $6.18-billion acquisition by Glencore International. The deal is expected to close in September 2012. In another corporate tax matter, Torys is advising TMX Group, which owns the Toronto Stock Exchange, on its proposed $3.85-billion acquisition by Maple Group, a consortium of financial companies and pension funds. The deal closed in August 2012. Welkoff is admired by peers for his M&A expertise.

Headed by Peter Keenan, Torys's New York practice focuses primarily on corporate tax. Its five-member team serves clients in the energy, financial services and real estate sectors. The firm advised commodities producer and trader Glencore International in relation to its IPO. Torys provided solutions relating to the pre-IPO reorganisation of the company, including the transformation of a complex capital structure under Swiss law to an ordinary share structure in preparation for flotation on the London and Hong Kong stock exchanges. Torys continues to advise Glencore on related matters. The May 2011 offering was the largest international IPO in the history of the London Stock Exchange. The publicly-traded company has a market capitalisation of $61 billion. In another sizeable transaction, the firm represented Brookfield Renewable Power in the $6.4 billion strategic combination of its renewable power assets with Brookfield Renewable Power Fund. The result was the creation of Brookfield Renewable, one of the largest, publicly-traded, pure-play renewable power platforms globally.
