The tax planning and transactional practice of Kirkland & Ellis has 27 partners and 21 other fee earners. The Chicago office is the firm's largest tax practice. Traditionally, the practice is known for its experience with bankruptcy matters, including a large amount of work on leveraged buyouts. The team led by Todd Maynes, represented Tronox, a leading manufacturer and marketer of titanium dioxide pigment, electrolytics and speciality chemicals in its two-year Chapter 11 case. Tronox filed for bankruptcy protection to address massive legacy environmental and tort liabilities incurred in connection with its spinoff from former parent Kerr-McGee Corporation, now Anadarko Petroleum Company. Tronox's environmental settlement, of $1.5 billion in assets, is one of the largest in bankruptcy history, covering more than 2,800 sites around the country and including as signatories the United States through the Department of Justice, the Environmental Protection Agency and the Navajo nation. The firm also led advisory work for the Swiss multinational food company Aryzta in its acquisition of Fresh Start Bakeries and Great Kitchens for a combined $1.08 billion, in separate deals announced in June 2010. The deals will be financed through cash at hand, bank facilities, funds raised through debt and $140 million worth of Aryzta shares. Laura Bader joined the tax group in September 2010 as a partner. Twelve associates have also joined in the past year.
